Terms of Service

These Terms of Service (the "Terms") govern your use of litwindow.ai (the "Service"), operated by Treezy Technologies Inc., a Delaware corporation ("litwindow", "we", "us", or "our"). By creating an account, starting a subscription, or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

1. Definitions

"Office" or "Instance" means the dedicated virtual machine we provision and manage for you, together with the software stack running on it. "Agent Software" means the AI agent applications available through the Service, such as the Paperclip control plane and OpenClaw workers. "Provider Keys" means API keys or credentials for third party AI providers (for example Anthropic or OpenAI) that you supply for use by your Office. "Customer Content" means all data, files, prompts, outputs, and other material stored on or produced by your Office.

2. The Service

The Service provisions a dedicated virtual machine for you at a European hosting provider, installs and configures Agent Software on it, and provides ongoing management: monitoring, a web dashboard, log access, key delivery, plan changes, and lifecycle operations. The machine is dedicated to you; we do not run other customers' workloads on it.

The Service is a hosting and management layer. The Agent Software itself is open source or third party software subject to its own licenses. We do not control, and are not responsible for, the decisions, actions, or output of AI agents you run.

3. Accounts and eligibility

You must register with a valid account and keep your sign-in method secure. You are responsible for all activity that occurs under your account. You must be at least 18 years old and legally capable of entering into a binding contract. You agree to provide accurate information and to keep it current. We may suspend accounts created with false information, used by persons under 18, or operated in violation of these Terms.

4. Subscriptions, trials, and billing

Access to the Service requires a paid subscription. Plans, prices, and included resources are described on our pricing page at the time of purchase. Payments are processed by Stripe; we do not store your card details.

Trial. New subscriptions include a 7 day free trial. You will not be charged if you cancel before the trial ends. When the trial ends, the subscription converts to a paid subscription and your payment method is charged.

Renewal and cancellation. Subscriptions renew automatically each month until cancelled. You may cancel at any time through the billing portal in your dashboard; cancellation takes effect at the end of the current billing period, and your Office remains available until then.

Refunds. Except where required by law, fees are non-refundable and we do not provide credits for partial months. If we materially fail to provide the Service and cannot remedy the failure within a reasonable time after you notify us, you may request a pro-rated refund for the affected period.

Promotions. Promotional pricing (for example founding-customer discounts) applies only under its stated conditions, may be limited in quantity, and may be withdrawn from new customers at any time. Promotional pricing that is stated to persist (such as a discount "for as long as you stay subscribed") remains in effect while the qualifying subscription remains continuously active.

Price changes. We may change plan prices with at least 30 days notice by email or dashboard notification. Changes take effect at your next billing cycle after the notice period.

Taxes. Prices exclude taxes unless stated otherwise. You are responsible for any applicable sales tax, VAT, GST, or similar charges.

5. Plan changes

You may upgrade or downgrade between plans from the dashboard. Plan changes involve a short restart of your Office (typically a few minutes). Downgrades take effect immediately at the infrastructure level; billing adjustments follow Stripe's proration rules for your subscription. Data belonging to extra workers that are stopped by a downgrade is retained and restored if you upgrade again.

6. Provider Keys and third party AI services

The Service uses a push-only key custody model: Provider Keys you submit are delivered directly to your Office and stored there; our platform retains only a truncated, non-reversible fingerprint so the dashboard can show which keys are configured. You are solely responsible for: (a) obtaining Provider Keys lawfully; (b) all usage and charges incurred under your Provider Keys; and (c) complying with each AI provider's terms of service, usage policies, and rate limits. If an AI provider suspends or revokes your key, that is between you and the provider; your litwindow subscription continues unaffected.

7. Customer Content and intellectual property

You retain all rights to Customer Content. We claim no ownership over anything your agents produce. You grant us only the limited rights needed to operate the Service: to store, transmit, and process Customer Content on your Office, and to access it when you ask us to provide support or when reasonably necessary to respond to a security incident, in each case logged and disclosed to you.

We retain all rights to the Service itself, including the platform, dashboard, provisioning systems, and documentation. These Terms grant you no license to our software except the right to use the Service while subscribed.

8. Acceptable use

You agree not to use the Service, or allow it to be used, to:

(a) violate any applicable law or regulation; (b) infringe or misappropriate the intellectual property, privacy, or other rights of any person; (c) send unsolicited bulk messages or operate spam infrastructure; (d) mine or farm cryptocurrency; (e) conduct denial of service attacks, port scanning, credential stuffing, or unauthorized penetration of third party systems; (f) host or distribute malware; (g) generate or distribute child sexual abuse material or other illegal content; (h) resell, sublicense, or provide the Service to third parties as raw compute or shared hosting; or (i) interfere with the integrity or performance of the Service or other customers' use of it.

We may suspend an Office immediately and without prior notice if we reasonably believe it is being used in violation of this section or that it poses a security or legal risk to us, other customers, or third parties. We will notify you of any suspension and, where practical, give you an opportunity to cure before termination.

9. Availability, maintenance, and support

We work to keep the Service available and your Office running continuously, but the Service is provided without an uptime guarantee or service level agreement. Availability can be affected by scheduled maintenance, upstream infrastructure incidents, capacity constraints at our hosting provider, and events outside our control. During capacity shortages, new provisioning requests may be queued and fulfilled automatically when capacity opens. Support is provided in English by email at hello@litwindow.ai on a commercially reasonable basis.

10. Backups and data export

Your Office performs periodic local database backups. You are responsible for maintaining your own copies of any data you cannot afford to lose, using the export tools we provide or your own SSH access. When an Office is deprovisioned, its disks are deleted at the hosting provider and cannot be recovered.

11. Security

We apply reasonable technical measures to protect the platform, including default-deny firewalls on tenant machines, TLS on all connections, signed platform-to-machine commands, and the push-only key custody model described above. No system is perfectly secure, and you acknowledge that you use the Service at your own risk. You must notify us promptly at hello@litwindow.ai if you discover a security vulnerability or believe your account has been compromised.

12. Third party services

The Service depends on third party providers, including Hetzner (infrastructure), Google Cloud and Firebase (platform hosting and authentication), Stripe (payments), and Cloudflare (DNS and TLS). Their availability and terms are outside our control. The Agent Software running on your Office is licensed under its own terms, which you are responsible for reviewing.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI AGENTS WILL PRODUCE ACCURATE, COMPLETE, OR USEFUL OUTPUT. AI SYSTEMS CAN PRODUCE INCORRECT OR HARMFUL OUTPUT; YOU ARE RESPONSIBLE FOR REVIEWING AND SUPERVISING THE WORK OF AGENTS YOU RUN.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW.

15. Indemnification

You will defend and indemnify us against claims, damages, and reasonable costs (including attorneys' fees) arising from: (a) Customer Content; (b) your use of the Service in violation of these Terms or applicable law; (c) your violation of a third party AI provider's terms; or (d) actions taken by agents you configure and run.

16. Term and termination

These Terms apply while you use the Service. You may stop using the Service and cancel your subscription at any time. If your subscription lapses or payment fails, we may suspend your Office after notice, and delete it and its data no sooner than 14 days after suspension. We may terminate your account for material breach of these Terms if the breach is not cured within a reasonable period after notice, or immediately for breaches of Section 8. Sections 7, 13, 14, 15, and 18 survive termination.

17. Changes to the Service or Terms

We may modify the Service over time, including adding or retiring features. We may update these Terms; if a change is material we will notify you by email or dashboard notice at least 14 days before it takes effect. If you do not agree to updated Terms, your remedy is to cancel before they take effect. Continued use after the effective date constitutes acceptance.

18. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict of laws rules. Courts located in Delaware have exclusive jurisdiction over disputes arising from these Terms or the Service, and each party consents to personal jurisdiction there. Nothing in this section deprives you of mandatory consumer protections of the country where you reside.

19. General

These Terms are the entire agreement between you and us regarding the Service and supersede prior agreements on that subject. If any provision is found unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delay or failure caused by events beyond its reasonable control.
